AxionIQ Software Studio, operated by AxionIQ FZC LLC (“AxionIQ”, “we”, “us”, or “our”), provides digital product and technology services including website design and development, web applications, SaaS products, software development, AI-powered products and integrations, UI/UX design, e-commerce solutions, booking systems, digital platforms, product prototyping, software consulting, technical implementation and integration, maintenance and support.
By accessing our website, requesting a quotation, purchasing a service, entering into a project agreement, or otherwise using our services, you agree to these Terms & Conditions.
If you do not agree with these Terms, please do not use our services.
1. About AxionIQ
AxionIQ Software Studio provides digital product and technology services, which may include:
- Website design and development
- Web applications
- SaaS products
- Software development
- AI-powered products and integrations
- UI/UX design
- E-commerce solutions
- Booking and reservation systems
- Digital platforms
- Product prototyping
- Software consulting
- Technical implementation and integration
- Maintenance, support and optimization services
Specific services, deliverables, timelines and prices may vary by project and will be described in the applicable proposal, quotation, invoice, statement of work or service agreement.
2. Eligibility
You must have the legal capacity to enter into a binding agreement in the jurisdiction applicable to you.
If you are engaging AxionIQ on behalf of a company, organization or other legal entity, you represent that you have authority to bind that entity.
3. Project Agreements
For custom development, design, software or consulting projects, the specific scope of work will normally be established through a proposal, quotation, statement of work, project brief, invoice or other written agreement.
Where a project-specific agreement conflicts with these Terms, the project-specific agreement will take precedence for that project to the extent of the conflict.
4. Quotes and Pricing
Unless otherwise stated:
- Quotes are based on requirements known to AxionIQ at the time of quotation.
- A quote may have a stated validity period.
- Additional requirements, features, revisions or integrations outside the agreed scope may result in additional charges.
- Third-party costs, including hosting, domains, APIs, software licences, plugins, payment processors, stock assets and other external services, may be charged separately unless expressly included.
- Taxes, duties or government charges applicable to the transaction may be added where required by law.
5. Payments
Payment terms will be communicated before or at the time an order or project is confirmed.
For custom projects, AxionIQ may require an advance payment or deposit before commencing work.
Work may be paused if required payments are overdue.
Where payment milestones apply, each milestone may become payable according to the agreed project schedule.
6. Client Responsibilities
Clients are responsible for providing information, content, credentials, approvals, assets and other materials reasonably required to complete a project.
Delays caused by missing information, delayed approvals, unavailable systems, third-party services or client-side changes may affect delivery timelines.
The client is responsible for ensuring that materials supplied to AxionIQ do not infringe the rights of third parties or violate applicable law.
7. Scope Changes
Requests that materially change the agreed scope may be treated as change requests.
AxionIQ may provide an updated quotation, timeline or statement of work before implementing material changes.
Additional work will not be assumed to be included merely because it relates to the original project.
8. Design Revisions and Approvals
Where a project includes design or revision rounds, the number of included revisions will be determined by the applicable project agreement.
Once a design, feature, milestone or deliverable has been approved, subsequent changes may be treated as additional work.
9. Delivery and Acceptance
Delivery dates are estimates unless a specific deadline has been expressly agreed in writing.
A deliverable may be considered accepted when:
- the client expressly approves it; or
- the client begins using the deliverable in production; or
- the client does not identify material defects within a reasonable review period following delivery.
This does not limit mandatory rights available to consumers under applicable law.
10. Third-Party Services
Our services may depend on third-party platforms, APIs, hosting providers, payment processors, software libraries, cloud infrastructure or other external services.
AxionIQ does not control third-party services and cannot guarantee their continuous availability, pricing, functionality or future compatibility.
Where a third-party service changes, becomes unavailable or increases its pricing, the resulting project impact may require an adjustment to the scope, cost or timeline.
11. Intellectual Property
Unless otherwise agreed in writing:
- AxionIQ retains ownership of its pre-existing tools, frameworks, systems, libraries, methodologies, templates, reusable components and know-how.
- Client-specific deliverables may be transferred or licensed to the client according to the applicable project agreement and payment status.
- Third-party software and assets remain subject to their respective licences.
- Open-source software remains subject to its applicable open-source licence.
Payment for a project does not automatically transfer ownership of AxionIQ’s underlying technology, reusable components, development systems or proprietary methods.
12. Client Materials
You retain ownership of materials you provide to AxionIQ.
You grant AxionIQ the permissions reasonably necessary to use those materials to perform the agreed services.
You represent that you have the necessary rights and permissions to provide those materials.
13. Portfolio and Marketing Use
Unless otherwise agreed in writing, AxionIQ may identify completed work as part of its portfolio and marketing materials.
AxionIQ will not knowingly disclose confidential information or private client data when doing so.
Clients may request that specific confidential projects or materials not be publicly displayed.
14. Confidentiality
Each party should protect confidential information received from the other party and use it only for legitimate purposes related to the business relationship.
Confidential information does not include information that:
- is publicly available;
- was already lawfully known;
- is independently developed;
- is received lawfully from another source; or
- must be disclosed by law or lawful authority.
15. Security
AxionIQ takes reasonable technical and organizational measures to protect systems and information under its control.
However, no internet-connected system can be guaranteed to be completely secure.
Clients remain responsible for protecting their own credentials, accounts and access information.
16. Acceptable Use
You must not use our website, services or systems to:
- violate applicable law;
- infringe intellectual-property rights;
- distribute malware or malicious code;
- attempt unauthorized access;
- interfere with our systems;
- conduct fraudulent activity;
- impersonate another person or entity;
- distribute unlawful content; or
- abuse our services or personnel.
We may suspend access where reasonably necessary to protect our systems, users or legal rights.
17. Warranties
We will provide services with reasonable skill and care consistent with the nature of the agreed service.
Unless expressly stated otherwise, we do not guarantee that:
- a website or software product will be completely error-free;
- a third-party service will remain available;
- a product will achieve a particular commercial result;
- search-engine rankings or advertising results will reach a particular level;
- AI-generated outputs will always be accurate; or
- software will remain compatible with every future third-party platform.
18. Limitation of Liability
To the maximum extent permitted by applicable law, AxionIQ will not be responsible for indirect, incidental, special or consequential losses arising from the use of our services.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
19. Suspension and Termination
Either party may terminate a project in accordance with the applicable project agreement.
AxionIQ may suspend services where:
- payments are materially overdue;
- the client materially breaches these Terms;
- continued performance would violate applicable law; or
- necessary third-party services become unavailable.
Termination does not automatically eliminate payment obligations for services already performed or approved commitments already incurred.
20. Refunds and Cancellations
Refunds and cancellations are governed by our separate Refund & Cancellation Policy, together with any project-specific agreement.
Mandatory consumer rights remain unaffected.
21. Privacy
Our collection and processing of personal information is governed by our Privacy Policy.
22. Changes to These Terms
We may update these Terms from time to time.
The latest version will be published on our website with the updated date.
Continued use of our website after an update may constitute acceptance of the revised Terms where legally applicable.
23. Governing Law
These Terms are intended to be governed by the applicable laws of the United Arab Emirates and the relevant laws and regulations applicable in the Emirate of Ajman, subject to any mandatory rights or jurisdictional rules that apply to the customer or transaction.
